Polestar plans to convert its Swedish holding company into a Dutch B.V. as part of an effort to create a leaner corporate structure.

Under the proposal, Polestar Performance AB would remain the same legal entity while changing its registered office, legal form and governing corporate law from Sweden to the Netherlands, with operations and headquarters planned to remain in Gothenburg.

Polestar says Dutch corporate law will suit its holding structure

Polestar Performance AB filed the cross-border conversion plan with the Swedish Companies Registration Office on November 5, 2026. Under the proposal, the Swedish entity would become a Dutch private limited liability company, or B.V. (besloten vennootschap), under laws implementing the EU mobility directive.

Polestar said the conversion is part of making the organization leaner and more efficient at all levels, including its holding structure, and that Dutch corporate law will be more efficient for the holding company and for group capital-structure allocation, according to Polestar’s Form 6-K.

The conversion plan identifies Beesd, the Netherlands, as the registered seat after the change, with a proposed registered address of Stationsweg 2, 4153RD Beesd.

Gothenburg remains the planned home for operations and HQ

Despite the planned change in legal domicile, Polestar says the operations and headquarters of the converted company, to be known as Polestar Performance B.V. (PPBV), are planned to remain in Gothenburg, Sweden.

The filing describes a proposed conversion rather than a completed change. Polestar has not said in the Form 6-K that the conversion has taken effect.

The stated rationale is a more efficient holding structure and capital allocation under Dutch corporate law, while keeping the operational base in Sweden.
